Terms of Service for UptimeRig Driver

These Terms of Service govern access to and use of the UptimeRig Driver mobile application and related services made available by Pasithea Group Inc. under the UptimeRig and Fleotan brands.

By accessing or using UptimeRig Driver, the user agrees to these Terms. If the user does not agree, the app must not be used.

1. Parties and service scope

UptimeRig Driver is a business-use mobile application provided by Pasithea Group Inc. for commercial fleet operations. The app is intended for use by drivers who are authorized by a fleet company that subscribes to the service.

Drivers are not direct paying customers of the app. Fleet companies subscribe to the service on a monthly or annual basis and may create, manage, suspend, or remove driver accounts.

3. Eligibility and authorization

The app may only be used by individuals who:

• Have been authorized by a fleet company that uses the service.
• Have been assigned a username and password by or on behalf of that fleet company.
• Are at least 18 years old, or the legal minimum age required to operate a commercial vehicle in the applicable jurisdiction.
• Use the app for lawful business purposes connected to fleet operations.

No public self-registration is permitted unless Pasithea Group Inc. introduces that functionality in the future.

4. Accounts and credentials

Users are responsible for maintaining the confidentiality of their login credentials and for all activity conducted through their accounts, except to the extent caused by the acts or omissions of Pasithea Group Inc.

Fleet companies are responsible for provisioning, managing, and removing access for their personnel. Pasithea Group Inc. may suspend or disable accounts where necessary for security, legal compliance, suspected misuse, or operational reasons.

5. Permitted use

The app may be used to complete inspections, upload documentation, capture photos or videos, receive operational notifications, and perform other functions made available by the service.

Users must use the app honestly, accurately, safely, and in accordance with applicable laws, employer policies, transportation rules, and these Terms.

6. Prohibited conduct

Users must not:

• Use the app without authorization.
• Share credentials with unauthorized persons.
• Submit false, misleading, manipulated, or fraudulent inspection, safety, location, or operational records.
• Interfere with the app, attempt unauthorized access, reverse engineer the service except where prohibited by law, or introduce malware or harmful code.
• Use the app in a way that violates privacy, employment, transportation, or other applicable laws.
• Use the app for personal consumer services unrelated to authorized fleet operations.

7. Inspection records and business data

Inspection records, signatures, timestamps, notes, media, and related data submitted through the app may constitute employer business records. Those records may be visible to the fleet company, its authorized representatives, and Pasithea Group Inc. as needed to operate and support the service.

Users acknowledge that the fleet company may rely on the data entered into the app for operational, compliance, maintenance, safety, and administrative purposes.

8. Device permissions and notifications

The app may require access to device features such as camera, media storage, notifications, and location services in order to function properly. Denying certain permissions may limit or disable core functionality.

UptimeRig Driver may send operational push notifications, including inspection reminders, dispatch updates, safety notices, account alerts, and check-out reminders. The app is not intended to deliver marketing notifications to drivers at this time.

9. Location and safety disclaimer

The app may collect precise location information while the app is in use for inspection or operational functions. Future versions may introduce additional location-based functionality.

The app is provided as an operational support tool and not as a guaranteed emergency, dispatch, compliance, or safety system. Users and fleet companies remain responsible for independent compliance with applicable transportation, safety, and legal obligations and should not rely on the app as the sole source of critical information.

10. Data handling

Personal information and business data are handled in accordance with the UptimeRig Driver Privacy Policy. By using the app, users acknowledge that information may be processed in Canada and the United States and disclosed to the fleet company and service providers as described in the Privacy Policy.

11. Intellectual property

The app, software, interfaces, branding, content, and related materials, excluding customer and user-submitted data, are owned by or licensed to Pasithea Group Inc. and are protected by applicable intellectual property laws.

These Terms grant a limited, revocable, non-exclusive, non-transferable right to use the app solely for authorized internal business use in connection with a subscribing fleet company.

12. Service changes and availability

Pasithea Group Inc. may update, modify, suspend, or discontinue any part of the app at any time, with or without notice, subject to applicable contractual obligations with fleet customers.

The service may be unavailable from time to time due to maintenance, outages, network issues, third-party dependencies, security events, or other causes beyond reasonable control.

13. Termination

A user's right to use the app ends when the fleet company removes access, the user's employment or engagement ends, the subscription ends, or Pasithea Group Inc. suspends or terminates access for breach, security, legal, or operational reasons.

Upon termination, certain data may remain stored as required for legitimate business purposes, contractual obligations, legal compliance, dispute resolution, recordkeeping, security, or enforcement.

14. Disclaimers

The app is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Pasithea Group Inc. disclaims warranties, representations, and conditions of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation.

Pasithea Group Inc. does not warrant that the app will meet every operational, legal, or compliance requirement of any specific fleet, vehicle type, jurisdiction, or employer policy.

15. Limitation of liability

To the fullest extent permitted by law, Pasithea Group Inc. and its directors, officers, employees, affiliates, licensors, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, arising out of or related to the app or these Terms.

To the fullest extent permitted by law, the total aggregate liability of Pasithea Group Inc. arising out of or relating to the app or these Terms will not exceed the greater of: (a) the amount paid by the applicable fleet customer for the service during the three months preceding the event giving rise to the claim; or (b) CAD $100.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

16. Indemnity

To the extent permitted by law, the fleet company and, where applicable, the user agree to indemnify and hold harmless Pasithea Group Inc. from claims, losses, liabilities, damages, and costs arising from unauthorized use of the app, breach of these Terms, violation of law, or infringement of rights of any person or entity.

17. Governing law and forum

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

Any dispute arising out of or relating to these Terms or the app shall be brought exclusively before the courts located in Ontario, unless an applicable written agreement with a fleet customer provides otherwise.

18. Changes to the Terms

Pasithea Group Inc. may revise these Terms from time to time. Updated Terms become effective when posted or otherwise communicated. Continued use of the app after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
